1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Flowsify Inc. ("Flowsify," "we," "us," or "our") governing your access to and use of the Flowsify platform, including our website, WhatsApp Flow Builder, API services, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You must meet the following criteria to use our Services:

  • Be at least 18 years of age
  • Have the legal authority to enter into these Terms
  • Not be prohibited from using the Services under applicable laws
  • Represent a legitimate business entity (for business accounts)

By using the Services, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must create an account by providing:

  • Accurate and complete registration information
  • A valid email address and phone number
  • Business information (company name, industry, etc.)

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains accurate and up-to-date

3.3 WhatsApp Business API

To use WhatsApp integration features, you must comply with WhatsApp Business API terms and Meta's policies. You are responsible for obtaining and maintaining your WhatsApp Business API access.

4. Services Description

Flowsify provides the following Services:

  • WhatsApp Flow Builder: Visual drag-and-drop tool to create WhatsApp conversation flows
  • API Integration: Connect your flows with backend systems, CRMs, and databases
  • Templates Library: Pre-built flow templates for common use cases
  • Analytics Dashboard: Track flow performance and user engagement
  • Support Services: Technical support and documentation

5. User Obligations and Prohibited Conduct

5.1 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:

  • Violate any applicable laws, regulations, or third-party rights
  • Send spam, unsolicited messages, or engage in harassment
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any part of the Services
  • Use the Services for fraudulent or malicious purposes
  • Transmit viruses, malware, or harmful code
  • Scrape, crawl, or reverse engineer the Services

5.2 WhatsApp Compliance

When using WhatsApp integration, you must:

  • Comply with WhatsApp Business Policy and Commerce Policy
  • Obtain proper consent before messaging users
  • Respect opt-out requests immediately
  • Provide accurate sender identification
  • Not send prohibited content (illegal, harmful, or misleading messages)

6. Intellectual Property Rights

6.1 Flowsify's Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and design, are owned by Flowsify and protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of any content you create using the Services ("Your Content"), including flows, templates, and configurations. By using the Services, you grant Flowsify a worldwide, non-exclusive license to:

  • Host, store, and process Your Content to provide the Services
  • Create aggregated, anonymized analytics data
  • Use Your Content for service improvement (with your explicit consent)

6.3 Feedback

Any feedback, suggestions, or ideas you provide to Flowsify may be used by us without obligation or compensation to you.

7. Payment Terms

7.1 Pricing and Billing

Pricing for the Services is available on our website. You agree to pay all fees associated with your subscription plan. Fees are billed in advance on a monthly or annual basis.

7.2 Payment Method

You must provide valid payment information. By providing payment details, you authorize us to charge all fees to your designated payment method.

7.3 Automatic Renewal

Subscriptions automatically renew unless canceled before the renewal date. You can cancel anytime through your account settings.

7.4 Refunds

Fees are non-refundable except as required by law or as explicitly stated in our refund policy. Pro-rated refunds may be provided at our discretion.

7.5 Price Changes

We reserve the right to change pricing with 30 days' notice. Continued use after price changes constitutes acceptance of new pricing.

8. Service Availability and Modifications

We strive to provide 99.9% uptime but do not guarantee uninterrupted access. We may:

  • Modify, suspend, or discontinue any part of the Services
  • Perform scheduled maintenance with advance notice
  • Make emergency changes without notice

We are not liable for any losses resulting from service interruptions or modifications.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWSIFY SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS OR DATA BREACHES
  • THIRD-PARTY ACTIONS, INCLUDING WHATSAPP/META POLICY CHANGES

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify and hold Flowsify harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Services
  • Violation of these Terms
  • Infringement of third-party rights
  • Your Content or WhatsApp messages sent through the Services

12. Termination

12.1 Termination by You

You may terminate your account at any time through account settings or by contacting support.

12.2 Termination by Flowsify

We may suspend or terminate your account if:

  • You violate these Terms or applicable laws
  • Your account shows fraudulent or suspicious activity
  • Payment obligations are not met
  • Required by law or regulatory authorities

12.3 Effect of Termination

Upon termination, your access to the Services will cease. You remain responsible for all fees incurred before termination. We will retain your data for 90 days to allow for account recovery, after which it will be deleted.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in San Francisco, California, except for claims that may be brought in small claims court.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or platform notice 30 days before taking effect. Your continued use after changes become effective constitutes acceptance.
